Website Access- Terms and Conditions of Use

 

The following sets out the terms of use and the conditions for access (the "Terms of Use")  to the Inherit Australia Website, tools, resources and Legal Document  (“Inherit platform”) .

1. General

1.1  With each visit to the Inherit platform you acknowledge and confirm that you agree with these Terms of Use.

1.2  Inherit Australia is a registered business name owned and operated by inherit.legal Pty Ltd  (“Inherit”). Inherit owns all the intellectual property held on the Inherit platform, and Inherit website including but not limited to the Inherit website logos, branding, format and layout, Legal Documents produced from the Inherit platform, AI bot questions and workflow narrative, help guides, educational material, the process for eSigning of a Legal Document and otherwise the systems and processes of the Inherit platform made available by Inherit. (“Inherit IP”).

1.3  In these Terms of Use,  Legal Document(s) means an Enduring Power of Attorney, Medical Treatment Power of Attorney or any other legal document available for creation via the Inherit platform

1.4  In these Terms of Use, a Finalised Document is defined as a finished legal document created on the Inherit platform post draft of the document that has been paid for and ready for printing and signature.

1.5  In these Terms of Use, an eSign ( or eSigning) means the process developed by Inherit on the Inherit platform for the electronic signing and witnessing of a Legal Document.

 

2.  Use of the Inherit platform and creation of Legal Documents

2.1 You agree not to use any Inherit IP for any purpose which is against any law  in your jurisdiction or for any purpose which would not give full effect to the Terms of Use even if that purpose is otherwise allowed under the Terms of Use.

2.2 You shall not use or reproduce any Inherit IP except as expressly provided in these Terms of Use and otherwise not without the written consent of Inherit.

2.2 Subject to payment of the required fee, you are granted a License to create Legal Documents on the Inherit platform for your personal use.

2.3 Subject to these Terms of Use you may make five electronic copies of each Finalised Document for your personal use.

2.4 You may make necessary mechanical copies (e.g. printed or photocopied) of the Finalised Document(s) for your personal records and as required for completion of the specific transactions for which the Finalised Document(s) are intended.

2.5 Your License is valid for the State or territory of the Legal Document that you select when you purchase your License.

2.6 You may not create a Legal Document and copy or reproduce that document into another document for another party

without creating the Legal Document on the Inherit platform.

3. Legal Advice, Information and Decision Making Responsibility

3.1 Inherit is not a law firm and does not provide Legal Advice (as defined below). Your use of the Inherit platform and creation of Legal Documents does not create a solicitor-client relationship between you and  Inherit.

3.2 You agree that all decisions you make on legal matters are your full responsibility and you agree to retain legal counsel licensed to practice in your jurisdiction regarding any legal issue of enough importance to reasonably require it.

3.3 You agree that Inherit does not provide Legal Advice. If you receive any communication from Inherit, its agents, its employees or any other associated entity, which is Legal Advice, you agree that it is NOT a communication authorized by Inherit and you agree to immediately delete and disregard it.

3.4 For the purposes of these Terms of Use, Legal Advice is defined to include the following:

(i) any legal related communication, work or service which, under the governing law of your jurisdiction, is only allowed to be performed by or under the supervision of a registered legal practitioner ;

(ii) advice on which Legal Document or documents you need or are best for your situation;

(iii) determining the legal consequences that will or could result from how you have created your legal document;

(iv) whether you have included inappropriate, conflicting, or ambiguous information in your Legal Document(s);

(v) whether you have omitted any necessary provisions or details from your legal documents;

(vi) The legal capacity or decision making capacity of the donor of any power of attorney, and

(vii) whether you require any additional or other Legal Documents or legal advice.

4. User Accounts

4.1 In order to access the Inherit platform and to create Legal Documents , you are required to register for an account with Inherit on the platform (“User Account“).

4.2 In order to create a User Account, you are required to provide Inherit with:

(a) your personal information such as your name, address, email address, phone    number;

(b) a password, stored in a one way encryption algorithm.

4.3 Once you have completed the registration process you will be a registered user of the Inherit platform (the “User”) and you agree to be bound by these Terms of Use.

4.4 You warrant that any personal and/or registration information you provide to Inherit will always be accurate, correct and up to date. You must immediately notify Inherit if your registration details change.

4.5 You understand that by supplying Inherit with your address, email address and phone number, you may receive regular emails, newsletters, telephone calls or SMS updates from Inherit in order to keep you informed about Inherit activities. If you do not wish to receive updates from Inherit, you may contact Inherit at team@Inheritaustralia.com.au.

4.6 You may not register for an account and may not use the Inherit platform if:

(a) you are not of legal age to form a binding contract with Inherit; or

(b) you are a person barred from using the Services under the laws of Australia or other countries including the country in which you are resident or from which you use the Services.

4.7 By registering for a User Account or using the Inherit platform, you represent and warrant to Inherit that:

(a) you have reached the legal age in your jurisdiction;

(b) you have the right, authority and capacity to agree to and abide by the Terms;

(c) if you are registering with Inherit or purchasing the Services on behalf of a business, that business is taken to have accepted the Terms and you are taken to have been duly authorised to bind the business; and

(d) you will use the Website in a manner consistent with any and all applicable laws, regulations and all other Inherit policies.

5. Obligations of User

5.1 As a User, you agree to comply with the following:

(a) not to share your User Account with any other person, except where you are registering on behalf of a business, in which case you may share the User Account with the employees or other registered owners of the business for the legal needs of that business;

(b) use the Inherit platform only for purposes that are permitted by these Terms of Use and any applicable law, regulation or generally accepted practices or guidelines in the relevant jurisdictions;

(c) maintain the confidentiality of your User Account and all the activities under your account;

(d) notify Inherit immediately following any unauthorised use of your User Account or any other breach of security;

(e) not expressly or impliedly impersonate another User or use the User Account or password of another User at any time;

 

6. Online data storage

 

6.1 The Inherit platform offers a storage service intended to provide a record of, and not to serve as a repository for, original documents (the “Deed register”). Inherit accepts no liability or responsibility for the preservation of the Deed register. Inherit reserves the right to store a Finalised Document in the Deed register in any format, whether digitally or otherwise. You acknowledge that in accessing the Inherit platform you have exclusive control and responsibility for the content of all customer data, including any Legal Documents used within the Inherit platform. If you cancel this agreement or have an outstanding fee, you will lose access to the Deed register. Inherit encourages users who access the Inherit platform to upload Finalised Documents as part of its service to customers. 

 

7. Your Data

7.1 Inherit does not use your data or permit others to use your data to train machine learning models used to provide any AI or other large language models. 

7.2 Your use of the Inherit platform is subject to fair usage restrictions. Inherit may disable or degrade the performance of such features on the Inherit platform at its sole discretion.

8. Restrictions

8.1 To the maximum extent allowable under applicable law, except as explicitly identified in these Terms of Use, you agree not to publish, re-publish, lend, license, give away, look at the software source code, modify the software source code, post to an Internet web site, or use in an automated system any  Legal Document or Inherit IP  nor will you allow or assist a third party to do so.

8.2 You agree to only use Legal Documents created from the Inherit platform as a retail customer.

8.3 The Licenses granted herein is subject to these Terms of Use, and are non exclusive, non-transferable, and revocable.

8.4 The agreement between you and Inherit constituted by these Terms of use is not assignable and non transferable

8.5 The rights granted under these Terms of Use are granted to you only.

8.6 If you are an organization, a purchase  of a Legal Document allows one individual within your organisation to exercise the rights granted by these Terms of Use. If multiple individuals within your organisation require access, there must be a purchase for each individual. The appointed individual may not be changed.

8.7 Inherit reserves the right to prohibit organizations, groups, or individuals, or yourself from using the Inherit platform at its discretion.

9. Limited warranties

9.1 Except as expressly provided in these Terms of Use, to the maximum extent permitted under applicable law, Inherit and the Legal Documents created from the Inherit platform are provided "as is" without any kind of warranty.

9.2 You accept full responsibility for determining the appropriateness of the Legal documents selected , the options selected for the creation of those documents or their suitability to your needs and circumstances.

9.3 You agree to indemnify inherit and its servants and agent from any suit or claim made by a third party in respect of a Legal Document that they are party to and which you create from the inherit platform

9.4 You accept full responsibility for the proper execution and witnessing of any Legal Document , including the proper process for eSiging of a Legal Document to ensure that the Legal Document is valid and compliant.

9.5 You agree that Inherit is not responsible for any loss, injury, claim, liability, damage, or consequential damage related to your use of a Legal Document including an inaccessibility of the Inherit platform and errors or omissions in the content of any Legal Document or the execution and witness of any Legal Document  and you agree to use the Inherit platform at your own risk. You agree to indemnify and hold Inherit, its directors, officers and employees, harmless from any actions, claims, losses, damages, liabilities and expenses including legal fees, asserted by any third party due to or arising out of your use of the Inherit platform or the creation and use of any Legal Document or which may arise from an incorrect execution or witnessing of a Legal Document.

10. Client Privacy

10.1 You consent to Inherit your personal information within the meaning of the Privacy Act 1988 and according to Inherit’s Privacy Policy that can be found at its website.

11.Governing Law

11.1 These Terms of Use are governed by the laws of the state of Victoria, Australia and you agree to submit to the exclusive jurisdiction of the court in the state of Victoria.

12. Modification of the Terms of Use

12.1 Except that you must be informed in a reasonable manner regarding any pricing change, Inherit may, in its sole discretion, change these Terms of Use at any time.

12.2 Other Terms of Use and conditions are only valid when signed in writing by an authorised Inherit officer.

13. Waivers

13.1 No failure or delay, on the part of Inherit  in exercising any right or power under these Terms of Use will operate as a waiver of such right or power.

14. Whole Agreement

14.1 Except as explicitly set forth in this agreement, these Terms of Use, the pricing displayed on the Inherit platform or the Inherit website constitute the whole agreement between you and Inherit and supersedes all prior communications or discussion between you and Inherit regarding the Inherit platform.
